Job Responsibility:

  • Ensure compliance with the Companies Act, 2013, and other applicable regulations
  • Prepare, maintain, and update statutory registers, records, and returns
  • Organize and manage board meetings, annual general meetings, and committee meetings, including drafting notices, agendas, and minutes
  • File necessary documents with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (RoC)
  • Provide legal support and advice on corporate governance, contracts, and regulatory compliance
  • Draft, review, and negotiate agreements, contracts, and legal documents
  • Liaise with external legal counsel and regulatory authorities as needed
  • Handle filings related to SEBI, FEMA, RBI, and other regulatory bodies (if applicable)
  • Ensure timely compliance with tax laws, labor laws, and industry-specific regulations
  • Assist in due diligence and documentation for mergers, acquisitions, and other corporate actions
  • Maintain confidentiality of sensitive legal and corporate matters
  • Provide administrative support to the legal and compliance teams as required

Requirements:

  • Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI)
  • Law degree (LLB) is highly desirable
  • [Specify experience, e.g., 3–5 years] of relevant experience in corporate governance and legal advisory, preferably in a corporate environment
  • Strong understanding of the Companies Act, 2013, SEBI guidelines, and other Indian regulatory frameworks
