The primary objective of this role is to be responsible for providing exceptional board support, secretarial services and other corporate governance related duties to varied client types, including corporate entities, financial institutions, investment funds, and private clients. This will be achieved through the effective management of a small but growing team of administrators and company secretaries, and to manage the more complex requirements of large clients' affairs, working closely with the Associate Director and other managers in the team to maintain and grow client relationships.
Job Responsibility:
Team Management: Direct and oversee the company secretarial team, ensuring high levels of performance, compliance, and professional development.
Governance and Compliance: Ensure client companies comply with statutory and regulatory requirements, focusing on the administration of annual returns, maintenance of statutory books, and management of shareholder information.
Board Support and Advisory: Act as the primary point of contact for the board of directors, providing comprehensive support and guidance on corporate governance matters.
Corporate Policies and Procedures: Develop, implement, and monitor team policies and procedures ensuring compliance with applicable laws and regulations.
Stakeholder Engagement: Maintain robust relationships with internal and external stakeholders, ensuring clear and effective communication regarding company secretarial matters.
Client Billing Oversight: Oversee the client billing process, ensuring accuracy, transparency, and efficiency.
Client Onboarding: Manage the client onboarding process, ensuring a seamless and compliant introduction to Ogier services.
Requirements:
Bachelor’s degree in Law, Business Administration, or related field, with a professional qualification in company secretarial practice (e.g., ICSA)
Extensive experience in relevant company secretarial roles, with experience of managing people
Comprehensive understanding of corporate governance, Irish company law, and compliance frameworks, with the flexibility to apply this knowledge across different sectors
