Job Responsibility

Provide comprehensive support in real estate, lending, construction, and leasing transactions
Oversee the review of title commitments, surveys, and exception documents
Draft title objection letters and track title and survey issues to resolution
Prepare various real estate transaction documents including purchase agreements, leases, loan documents, and standard construction contracts
Draft corporate, limited liability company, and partnership resolutions
Maintain entity files and assist clients with compliance issues
Analyze entity structure for compliance with Corporate Transparency Act
Conduct legal due diligence including ordering and reviewing UCC, judgment and lien searches, zoning letters, and environmental reports
Manage the closing process, including compilation of execution documents and communication with all parties to transactions
Maintain spreadsheets to track status of transactions and/or pending agreements

Job Responsibility

Participating in documenting purchase, sale and financing transactions, including preparing, reviewing, and coordinating legal documents and ensuring accuracy and completeness of final transaction instruments
Understanding relevant documentation affecting acquisitions, dispositions and financing transactions, including but not limited to land options/PSAs, improved property options/PSAs, escrow agreements, development agreements, construction financing, takeout financing, mezzanine loan financing, lines of credit, guarantees, new markets tax credits, opportunity zones, tax increment financing, EB-5, ground leases, and farm leases
Preparing, reviewing, and coordinating transaction due diligence compliance pursuant to contract terms
