Job Description

A Boston-based SaaS company is seeking a Commercial Counsel to join its legal team. This is a highly visible role supporting commercial contracting, data privacy, and IP strategy in a fast-paced environment.

Job Responsibility

  • Lead drafting, review, and negotiation of commercial SaaS agreements, including MSAs, subscription agreements, DPAs, SLAs, partner agreements, vendor contracts, and NDAs
  • Partner closely with various teams (Sales, GTM, Finance, etc.) to support deal execution
  • Advise on data privacy, security, and compliance matters
  • Develop contract playbooks and approval workflows
  • Support and strengthen the company’s intellectual property strategy, including trademarks, patents, and IP risk mitigation
  • Serve as a strategic advisor to leadership on legal, regulatory, and commercial matters

Requirements

  • JD and 5+ years of legal experience, ideally in both law firm and in-house environments
  • Expertise in technology transactions and SaaS business models
  • Strong communication, negotiation, and business judgment skills
