Software company is seeking an experienced Commercial Counsel to support our sales team by redlining and negotiating SaaS customer agreements. This fully remote position offers schedule flexibility, with hours ebbing and flowing between 20 and 40 per week based on business demand. This Commercial Counsel role is ideal for a proactive attorney who thrives in a fast-paced, technology-driven environment and has proven experience redlining and negotiating SaaS contracts at a SaaS company.
Job Responsibility:
Provide legal support to sales for the review, redlining, and negotiation of SaaS contracts and related software agreements
Advise the sales and cross-functional teams on contractual terms, risk mitigation, and compliance matters to facilitate successful deal closure
Develop, update, and optimize contract templates, negotiation playbooks, and process guidelines to support commercial transactions
Track contract negotiations, escalate complex issues as needed, and maintain accurate contract records
Ensure agreements adhere to company policies, privacy requirements, and relevant regulations
Requirements:
Juris Doctor (JD) and active bar license
Minimum 8 years’ relevant experience negotiating SaaS agreements within a SaaS company
Deep familiarity with SaaS business models, licensing structures, and contract terms (including SLAs, indemnification, data privacy, limitations of liability, etc.)
Strong negotiation, business judgment, and communication skills
Ability to work independently and efficiently in a fully remote setting
Strong organizational and time management abilities
