As a Commercial Counsel reporting to the Managing Counsel Lead, you will be helping us meet growing business demands and continue to provide excellent contractual support to our Sales team as well as the Partnership and Procurement teams. dbt Labs is a remote-first company with a globally distributed team. This role is open to individuals based in the United States.
Job Responsibility:
Draft, review and negotiate technology contracts of all types and other legal documents, including SaaS agreements, DPAs, BAAs, Security Addenda, Referral/Reseller/VAR/Strategic Partnership Agreements and Vendor contracts
Collaborate with internal business clients and cross functional stakeholders, including Sales, Support, Professional Services, Security, Finance, People Team, and OrderOps
Help create/update playbooks and robust legal collaboration processes
Work asynchronously as part of a fully-remote, distributed team
Requirements:
Member of the bar in at least one U.S. State
At least 7 years of combined law firm and in-house legal department experience
At least 4 years of in-house experience at B2B SaaS companies (or 7+ years total in-house)
Experience negotiating sell-side B2B SaaS Agreements, DPAs and partnership agreements with Fortune 500 clients
Great sense of business, balancing risk and communicating well
Ability to build relationships with non-lawyers
Experience working closely with sales teams
Ability to work independently and take ownership of multiple demanding projects
Strong communication skills (verbal and written)
Outstanding attention to detail
Proficient with Google Docs, Gmail, Word, Adobe Acrobat Pro, DocuSign, Salesforce, CLM and other Legal Ops tools, and Slack
Nice to have:
Enjoy redlining and negotiating, identifying risk and explaining that risk
Comfortable explaining legal changes in simple terms
Seeks to understand the business, its products, and risks
Not afraid to ask questions and learn from engineers and product teams
