Job Description

We are seeking an experienced Commercial Counsel to join our Legal Team in the U.S. In this role, you will support complex commercial transactions, including SaaS, licensing, and strategic partnerships, while helping the company navigate diverse legal and regulatory frameworks in the rapidly evolving field of artificial intelligence. You will work closely with global colleagues to provide practical, business-oriented advice that enables growth while managing risk across multiple jurisdictions.

Job Responsibility

  • Draft, review, negotiate, and close complex commercial agreements with customers, suppliers, and strategic partners
  • Partner with sales, business development, and operations teams to design and implement strategies that support high-growth go-to-market initiatives
  • Monitor and interpret evolving legal and regulatory developments, including data protection, technology, and AI-related frameworks, and apply this knowledge to contract drafting and risk assessment
  • Develop, maintain, and localize contract templates, playbooks, and policies to reflect regional requirements and industry best practices
  • Provide clear, pragmatic, and commercially focused legal advice to cross-functional teams, tailoring advice to enable responsible growth and innovation
  • Contribute to scaling the Legal Team’s commercial function, fostering a collaborative, solutions-oriented team culture.

Requirements

  • JD with active membership in at least one U.S. state bar (New York preferred)
  • 6-12 years of relevant legal experience (in-house experience with technology or SaaS companies strongly preferred)
  • Proven track record drafting and negotiating complex commercial and technology agreements
  • Strong knowledge of enterprise software licensing, SaaS, data protection, and intellectual property
  • Experience advising on privacy, cybersecurity, and cross-border data transfer issues
  • Excellent communication, stakeholder management, and problem-solving skills.
