Our client, a global manufacturing company, is seeking a Commercial Corporate Counsel. In this role, you will provide expert legal guidance with a focus on commercial transactions and corporate legal matters, ensuring compliance with company policies and global regulations. The ideal candidate will play a key role in supporting business growth by negotiating contracts, managing legal risks, and fostering strong relationships with internal stakeholders.
Job Responsibility:
Lead the drafting, review, and negotiation of complex commercial agreements, including supply and manufacturing contracts, OEM and distribution arrangements, software and technology licenses, professional services agreements, development agreements, and NDAs
Serve as a strategic legal advisor to Sales, Finance, Business Segment Management, and Supply Chain by providing practical guidance on contract structure, risk allocation, and commercial strategy
Advise on international trade compliance, regulatory obligations, and contractual performance matters in partnership with legal and operational teams
Drive continuous improvement of contract templates, policies, and workflows to enhance scalability, efficiency, and risk management
Support and strengthen corporate compliance programs, including anti-bribery, export controls, and ethics initiatives
Conduct legal due diligence, perform contract analysis, and support integration efforts for strategic transactions, partnerships, and other growth initiatives
Assist with drafting and reviewing public company disclosures, including SEC filings and related governance documentation
Develop and deliver training to internal stakeholders on key commercial legal topics and emerging regulatory developments
Travel domestically and internationally as business needs require (up to 20%)
Requirements:
Juris Doctor (J.D.) from an accredited U.S. law school
Active membership in good standing with the Massachusetts Bar
Minimum of six (6) years of legal experience, including at least three (3) years advising on commercial transactions and related legal matters
Prior in-house experience strongly preferred, particularly within manufacturing, energy, or technology-driven organizations
Comprehensive knowledge of U.S. and international commercial law, including contract law, the UCC, and international trade frameworks (e.g., Incoterms)
Demonstrated ability to independently draft, review, and negotiate sophisticated commercial agreements
Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear, practical guidance for business stakeholders
Strong organizational skills with keen attention to detail and the ability to manage multiple priorities in a dynamic, fast-paced environment
Sound judgment with a proven ability to identify, assess, and mitigate legal and business risks while delivering pragmatic, value-driven solutions
Collaborative approach with a track record of building effective cross-functional partnerships
High degree of integrity, professionalism, accountability, and self-motivation
U.S. citizenship required
Nice to have:
Familiarity with revenue recognition principles, commercial finance structures, and related accounting concepts
Working knowledge of applicable laws and regulations, including: Antitrust and trade regulation, Intellectual property licensing (preferred), Foreign Corrupt Practices Act (FCPA) and global anti-bribery laws
Experience supporting international operations and managing cross-border commercial agreements
