Job Description:

A global, full-service law firm is seeking an experienced Corporate Paralegal to support its Capital Markets and Corporate teams. This role focuses on IPOs, public company matters, and securities compliance in a fast-paced, collaborative environment.

Job Responsibility:

  • Support IPO and public company matters, including: Registration statement numerical backup spreadsheets
  • Beneficial ownership tables
  • '34 Act filings and ongoing reporting
  • Section 16 filings
  • Rule 144 filings and legend removal letters
  • Transfer agent onboarding
  • Stock exchange applications
  • FINRA filings
  • Selling stockholder matters
  • Closing documents, closing sets/volumes
  • Board resolutions and minutes
  • Assist with SEC compliance and securities law matters
  • Conduct thorough legal and factual research
  • Prepare, review, and file documents with regulatory agencies
  • Manage multiple projects and deadlines with a high level of accuracy
  • Collaborate closely with attorneys and internal teams

Requirements:

  • Bachelor's degree required
  • Paralegal certificate from an ABA-approved program preferred (not required)
  • 8+ years of corporate paralegal experience, ideally within capital markets or securities
  • Prior experience in a legal or financial services environment strongly preferred
  • Proficiency in Microsoft Office (Outlook, Excel, PowerPoint)
  • Strong experience with legal and financial research platforms, including: Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta
  • Strong written and verbal communication skills
  • Excellent organizational and time-management abilities
  • High attention to detail and accuracy
  • Solid understanding of corporate and securities law, including SEC regulations
  • Ability to work independently and as part of a team

  • Partner with Finance and Stock Administration to ensure accurate equity-related disclosures
