Job Description:

Robert Half is seeking an experienced Capital Markets Attorney to support a sophisticated legal team within a dynamic financial services environment. This role requires hands-on experience with securities offerings, capital markets transactions, and advising on U.S. securities laws. Ideal candidates will be able to work closely with underwriting, banking, and trading teams to deliver precise, business‑focused legal guidance.

Job Responsibility:

  • Advise on debt and equity securities offerings, including prospectuses, underwriting agreements, and 144A/Reg S transactions
  • Draft, review, and negotiate capital markets and financing documentation
  • Support derivatives, structured products, or trading desks with legal and regulatory analysis
  • Interpret and advise on U.S. securities laws, including the ’33 Act and ’34 Act
  • Prepare or review offering documents, disclosure schedules, term sheets, and legal opinions
  • Collaborate with internal stakeholders, issuers, bankers, and external counsel
  • Ensure compliance with applicable regulatory, disclosure, and governance requirements

Requirements:

  • J.D. from an accredited law school
  • Active bar admission in at least one U.S. jurisdiction (NY bar strongly preferred)
  • 3–7+ years of capital markets experience within a law firm, investment bank, or in‑house legal department
  • Direct experience with: Securities offerings (debt, equity, public, private), 144A/Reg S transactions, Drafting and reviewing offering materials, Underwriting/dealer agreements, Derivatives or structured products
  • Strong knowledge of U.S. securities laws, including the Securities Act of 1933 and Securities Exchange Act of 1934
  • Experience supporting investment banks, issuers, capital markets groups, or trading desks
  • Ability to provide concise, commercially‑minded legal advice
  • Demonstrated experience drafting and negotiating: Offering memoranda / prospectuses, Underwriting agreements, Term sheets and disclosure documents, Opinions and related offering materials
  • Familiarity with: 144A/Reg S offerings, Structured products or derivatives, SEC reporting requirements and securities regulations
  • Strong communication skills and ability to advise senior business partners
  • Detail‑oriented, organized, and comfortable managing multiple transactions simultaneously
  • Ability to work independently in a fast‑paced, transaction‑driven environment
