Business Attorney

• Provide legal counsel on business formation, transaction structuring, and compliance with relevant regulations
• Draft, review, and negotiate contracts, shareholder agreements, and other legal documents
• Assist clients in mergers and acquisitions, securities offerings, and private placements
• Collaborate with estate planning professionals on succession planning matters
• Conduct analysis of debt structures and advise on banking and credit facilities
• Develop practical solutions to complex legal challenges for clients in various industries
• Represent clients at local, national, and international levels in business-related matters
• Ensure compliance with corporate governance standards and regulatory requirements
• Support clients in the development of equity incentive plans and other financial agreements
• Stay updated on legal trends and apply insights to improve client outcomes

• Juris Doctor (JD) degree with active membership in the state bar
• Minimum of 5 years of experience practicing business law, ideally within a law firm
• Strong expertise in entity formation, mergers and acquisitions, and corporate contracts
• Excellent drafting, negotiation, and communication skills
• Proven ability to manage complex legal transactions and deliver results in a fast-paced environment
• Familiarity with securities offerings, private placements, and succession planning is highly desirable
• Demonstrated ability to work collaboratively with multidisciplinary teams
