A leading AmLaw law firm is seeking a talented Banking & Finance Associate to join its nationally recognized finance practice. This role offers the opportunity to work on complex, high-value transactions representing major financial institutions, private equity sponsors, and corporate borrowers across a broad range of industries. This is an ideal opportunity for an associate looking to deepen their experience in sophisticated financing transactions while working within an elite, globally recognized platform.

Job Responsibility:

  • Represent lenders, arrangers, and borrowers in structuring, negotiating, and documenting a wide range of financing transactions, including: Leveraged and acquisition financings
  • Cash flow and asset-based lending facilities
  • Private credit and direct lending transactions
  • Mezzanine and subordinated debt
  • Refinancings and restructurings
  • Draft and negotiate credit agreements, security documents, intercreditor agreements, and related transaction documents
  • Conduct due diligence and manage closing processes for complex, multi-party transactions
  • Collaborate with cross-functional teams, including M&A, capital markets, and restructuring groups
  • Advise clients on deal structure, risk allocation, and market terms

Requirements:

  • 1-10 years of experience at a top-tier law firm with a focus on banking/finance
  • Strong experience representing lenders and/or borrowers in syndicated or direct lending transactions
  • Excellent drafting, negotiation, and analytical skills
  • Strong academic credentials and attention to detail
  • Ability to manage multiple transactions in a fast-paced environment
  • Admission to the bar in the relevant jurisdiction (or ability to waive in)
