We are looking for a skilled Attorney to provide legal support in reviewing and negotiating software license agreements for a state agency. This long-term contract position involves ensuring compliance with Georgia state laws while managing contracts related to software procurement and renewals. The role requires expertise in state contracting processes and the ability to identify and address prohibitive clauses in agreements.
Job Responsibility:
Review and analyze software license agreements to ensure compliance with Georgia state laws and regulations
Draft, negotiate, and amend contracts, including subscription-based technology and cloud-computing arrangements
Collaborate with business units to address and resolve contractual issues in software procurement
Identify and eliminate non-compliant provisions in contracts submitted by brokers or resellers
Provide expert guidance on state contracting and procurement processes
Conduct thorough legal assessments of vendor agreements to safeguard agency interests
Work closely with stakeholders to educate them on prohibitive clauses and legal implications
Manage contract renewals and ensure timely review and approval
Support the Contracts Manager in handling complex legal matters related to software acquisition
Maintain accurate documentation and records of contract negotiations and amendments
Requirements:
Proven experience in reviewing, drafting, and negotiating technology-related contracts
Strong knowledge of state contracting processes and legal compliance requirements
Familiarity with prohibitive clauses commonly found in vendor agreements
Expertise in service, vendor, and software contracts, including redlining and negotiation
Ability to identify and address legal risks in software license agreements
Exceptional attention to detail and analytical skills
Effective communication and collaboration abilities with various stakeholders
Licensed attorney with relevant experience in state or government contracting
