We are looking for an experienced and driven attorney to join our team in Conshohocken, Pennsylvania, specializing in private equity and investment fund transactions. This role involves providing expert legal counsel, negotiating complex agreements, and supporting fund formation and transaction processes to ensure compliance and efficiency. You will collaborate with a variety of stakeholders, including clients, investment professionals, and private equity sponsors.
Job Responsibility:
Negotiate and review investor agreements, such as limited partnership agreements, subscription agreements, and side letters, ensuring accuracy and compliance
Oversee LP and GP-led secondary transactions by drafting and negotiating purchase agreements, transfer documents, and framework agreements
Support fund formation and separate account processes, including drafting agreements and facilitating closings
Provide legal guidance on private market transactions, such as co-investments and credit transactions
Collaborate with legal teams, clients, private equity sponsors, and investment professionals to deliver expert legal support
Supervise and coordinate with outside counsel to maintain high-quality deliverables and alignment with client needs
Analyze amendments to private equity fund agreements and advise fund investment teams on legal implications
Enhance internal systems, procedures, and guidelines to streamline investment legal processes
Handle client closings into investment funds, ensuring compliance and efficiency
Contribute to special projects and initiatives as needed
Requirements:
Licensed attorney with 3-6 years of experience, preferably in private equity or corporate law
Membership in the Pennsylvania Bar is required
Strong background in private markets and fund formation is highly desirable
Experience with private equity transactions, such as mergers and acquisitions, is a plus
Exceptional communication skills to effectively interact with clients, colleagues, and opposing counsel
Demonstrated ability to work proactively, solve complex legal issues, and collaborate within a team environment
Outstanding analytical and organizational abilities with keen attention to detail
Familiarity with legal structuring and tax considerations in private markets is advantageous
Nice to have:
