We are looking for an early-career Attorney/Lawyer to join a legal team in Baltimore, Maryland, supporting a broad range of transactional matters. This opportunity is well suited for someone with foundational exposure to corporate transactions who is eager to build practical experience in real estate-related deals, mergers and acquisitions, and day-to-day commercial legal work. The role offers hands-on training and the chance to contribute to both deal execution and general business counseling.
Job Responsibility:
Draft and organize core entity formation and governance materials, including supporting documents needed for routine corporate matters
Prepare transaction-related paperwork such as approvals, certificates, closing sets, and other deal documents under attorney guidance
Review due diligence materials to identify key legal and business issues and help summarize findings for the deal team
Track outstanding items, coordinate document flow, and support the management of timelines and deliverables across active transactions
Assist with matters involving the corporate aspects of real estate transactions, including joint ventures, financing arrangements, and related agreements
Contribute to merger and acquisition projects by helping assemble documentation and supporting deal execution from initial review through closing
Draft straightforward commercial agreements, including basic service or operational contracts, as experience and familiarity with client needs grow
Conduct targeted legal research to help address client questions related to ongoing business operations and practical compliance concerns
Requirements:
At least 1 year of experience, or comparable exposure, in transactional legal work through practice, internships, or academic training
Basic familiarity with corporate transactions and an interest in developing deeper experience in deal-oriented legal matters
Understanding of due diligence processes and the ability to review documents carefully and accurately
Strong legal drafting skills with the ability to prepare clear, organized, and thorough documents
Excellent attention to detail and the ability to manage multiple assignments in a deadline-driven environment
Effective written and verbal communication skills for collaborating with attorneys, clients, and internal stakeholders
J.D. required and eligibility to practice law in the applicable jurisdiction preferred
