Our client is a growing company in the sustainable energy space. As they continue to expand, they are looking to hire an Attorney (Assistant General Counsel) with 3+ years of experience to join their team in Baltimore, Maryland. This role involves providing comprehensive legal support for renewable energy projects, including managing complex transactions and ensuring compliance with relevant regulations. The ideal candidate will possess a strong background in project finance, corporate law, and renewable energy, and will work closely with senior leadership to balance legal risk with business objectives.
Job Responsibility:
Lead and oversee all legal aspects of renewable energy projects from conceptualization to operation, ensuring compliance with industry standards and regulations
Draft, negotiate, and manage intricate agreements such as Power Purchase Agreements (PPAs), lease documents, EPC contracts, O& M agreements, and interconnection agreements
Provide strategic advice on project financing structures, including construction debt, tax equity partnerships, and term debt, with a focus on compliance with the Inflation Reduction Act and related guidelines
Conduct and coordinate due diligence for acquisitions, financings, and portfolio sales, reviewing critical documentation such as permits, environmental assessments, and interconnection materials
Offer legal and commercial guidance to senior management, aligning business goals with legal frameworks
Oversee the review and management of various legal documents, including vendor contracts, nondisclosure agreements, and master service agreements, ensuring accuracy and risk mitigation
Develop and enhance company templates for transactional documents, maintaining a robust internal legal knowledge base
Support corporate governance initiatives, including subsidiary management, compliance policies, and risk management strategies
Collaborate with and manage external legal counsel to ensure efficient and cost-effective representation
Requirements:
Active membership in a state bar in good standing
Juris Doctor (J.D.) degree from an accredited law school with a strong academic record
Minimum of 3 years of transactional experience, preferably in project finance, renewable energy, or infrastructure
Proven expertise in solar or distributed generation project development is highly desirable
Experience in real estate transactions and corporate finance is advantageous
Familiarity with tax credits, safe-harbor provisions, and begun-construction concepts related to renewable energy projects
Ability to manage multiple complex transactions simultaneously in a dynamic and collaborative environment
Exceptional written and verbal communication skills, with a focus on clarity and precision
