  • Draft registration statemnts, offering memoranda, purchase & underwriting agreemnts for cross-border capital markets transctns
  • Advise on cross-border M&A, finance & restructuring
  • Provide legal counsel related to compliance w/ Securities Act of '33 & reporting under Exchange Act of '34, NYSE & NASDAQ rules, incl annual reports under Forms 10-K & 20-F

Requirements:

  • JD, LLM or foreign equiv + 5 yr exp in offered pos or related occuptn
