Job Responsibility:

  • Transaction Support: Support/lead the execution of domestic and cross-border M&A transactions, including preparing closing checklists and managing the signing/closing process
  • Drafting: Assist in drafting and reviewing transaction documents such as initial drafts of SPAs, Shareholders’ Agreements, and ancillary documents (board resolutions, POA, etc.)
  • Due Diligence Coordination: Conduct and coordinate legal due diligence, including managing virtual data rooms (VDR) and drafting detailed due diligence reports
  • Research & Advisory: Perform legal research on corporate law, foreign investment regulations, and industry-specific rules to support senior associates and partners
  • Project Coordination: Liaise with clients, counterparty counsel, and internal specialist teams to ensure smooth deal flow

Requirements:

  • LL.B. or J.D. degree from a top-tier law school
  • An LL.M. from a prestigious overseas university is highly preferred
  • 0–6 years of post-qualification experience (PQE) in M&A/Corporate law within a leading international or top-tier domestic law school
  • Qualified to practice law in China
  • Strong drafting skills in English and Mandarin
  • Commercial acumen and the ability to provide pragmatic solutions to complex legal issues
  • Excellent project management skills and the ability to thrive under pressure
  • A collaborative mindset with a high degree of professional integrity and a desire for continuous learning
