Transaction Support: Support/lead the execution of domestic and cross-border M&A transactions, including preparing closing checklists and managing the signing/closing process
Drafting: Assist in drafting and reviewing transaction documents such as initial drafts of SPAs, Shareholders’ Agreements, and ancillary documents (board resolutions, POA, etc.)
Due Diligence Coordination: Conduct and coordinate legal due diligence, including managing virtual data rooms (VDR) and drafting detailed due diligence reports
Research & Advisory: Perform legal research on corporate law, foreign investment regulations, and industry-specific rules to support senior associates and partners
Project Coordination: Liaise with clients, counterparty counsel, and internal specialist teams to ensure smooth deal flow
Requirements:
LL.B. or J.D. degree from a top-tier law school
An LL.M. from a prestigious overseas university is highly preferred
0–6 years of post-qualification experience (PQE) in M&A/Corporate law within a leading international or top-tier domestic law school
Qualified to practice law in China
Strong drafting skills in English and Mandarin
Commercial acumen and the ability to provide pragmatic solutions to complex legal issues
Excellent project management skills and the ability to thrive under pressure
A collaborative mindset with a high degree of professional integrity and a desire for continuous learning
