A diverse position requiring a strong legal background in a variety of areas combined with problem solving skills and an understanding of a business’ legal needs. Associate Legal Counsel is responsible for assisting in the maintenance and growth of Victaulic’s business by handling a variety of transactional, drafting, and negotiating tasks that facilitate global strategic and tactical legal initiatives. Provide advice and counsel to Chief Legal and Administrative Officer and Vice President of Legal, senior management domestically and abroad, and other internal clients to limit contractual risk exposure and ensure legal compliance. Requires corporate law experience coupled with business and management experience.
Job Responsibility:
Draft, review, and negotiate a wide range of contracts, requests for proposals, forms, and other legal documents to support the profitable growth of Victaulic’s business
Work broadly across various business groups, operating companies, and departments to gather information and assess needs/capabilities in order to deliver tailored legal solutions
Support major business transactions, including due diligence, mergers, acquisitions, divestures, global joint ventures and strategic partnership deals
Participate in the development and provision of corporate policies, programs, and training on industry-specific issues, corporate governance, compliance, human resources, etc., and the continued legal guidance of all such policies/programs
Aid in the selection, retention, management and evaluation of outside counsel
Keep informed of industry-specific regulations and ensure that appropriate risk management strategies are in place
As a member of the Legal Department, assist internal business clients and Legal Department staff with various tasks as assigned
Requirements:
Juris Doctor degree from an ABA accredited school of law
License to practice law in Commonwealth of Pennsylvania (or ability to obtain a Limited In-House Corporate Counsel License from the Commonwealth of Pennsylvania)
Minimum of five (5) years’ experience practicing law within a corporation or private practice, or preferably, combined experience
Proficiency drafting and negotiating commercial contracts with key understanding of business operations and legal issues affecting the business
Experience supervising support staff and with cost-effective management of outside counsel
Ability to anticipate issues and estimate risks strategically
identify proactive solutions to eliminate or mitigate identified risks
Excellent judgement and analytical skills
capable of developing trust and respect with key stakeholders through ‘first class’ interpersonal and communication skills
Periodic travel domestically and abroad
Nice to have:
Complex sales/transactional contracts and/or government procurement exposure a plus
