Job Responsibility

  • Provide legal guidance to executive leadership on ongoing regulatory developments, corporate governance, compliance, risk and commercial matters
  • Support active litigation and manage relationships with outside counsel
  • Serve as interim Corporate Secretary and prepare documents for board meetings and address corporate governance matters, as needed
  • Review and advise on key contracts and partnership agreements currently in progress
  • Partner with internal teams to maintain legal and compliance continuity
  • Own and lead the company’s global compliance program, including implementation and continuous improvement
  • Ensure compliance with applicable laws, regulations, and industry standards across jurisdictions
  • Identify and escalate material risks or issues to leadership
  • Act as the main point of contact for regulators and external auditors on compliance matters
  • Support the legal function’s existing priorities and workflows during the interim period
  • Serve as primary legal point of contact for urgent and time-sensitive matters during the interim period
  • Oversee and manage team of legal, compliance and risk professionals to support company growth

Requirements

  • Juris Doctorate from an ABA-approved institution
  • Active bar membership in at least one U.S. jurisdiction and in good standing
  • 10+ years of relevant legal experience, including experience in a senior in-house legal role
  • Experience advising executive leadership on corporate, regulatory, compliance or commercial matters
  • Experience managing outside counsel and supporting litigation or complex disputes
  • Strong written and verbal communication skills, with the ability to provide clear, practical legal guidance
  • Demonstrated sound judgement and ability to operate effectively in a fast moving or high-stakes environments

Nice to have

  • Experience with cryptocurrency, blockchain technology, and digital asset regulatory frameworks
  • Experience with mining pools, proof-of-work protocols, or digital asset infrastructure businesses
  • Background in securities law, particularly as applied to digital assets
  • Experience in high-growth technology companies navigating complex regulatory environments
  • Previous direct involvement in IP/patent litigation and complex commercial disputes
