The Associate Counsel role at NTT DATA requires a Senior Legal Advisor with a JD and state bar license, offering legal advice on complex commercial and regulatory matters. Job Responsibility:
Provides legal advice and support to Management, business and other leaders on engagements, transactions, issues and challenges relating to the specified functional area or legal discipline
Partners with engineering, product development, and technical teams to assess legal, regulatory, and contractual risks associated with system design, technology choices, and implementation approaches
Takes the lead in the above engagements and transactions with external parties including regulators, or when assigned
Translates complex engineering and technical concepts into clear legal guidance to support informed decision-making by management and business stakeholders
Provides functional area or legal discipline expertise and counsel to other legal practitioners
Helps to develop and implement initiatives, programs and tools to enhance the level of proficiency of stakeholders including other legal practitioners in the same functional area/legal discipline, and to share know-how
Conducts and supports cross-functional technical and legal reviews of product and service releases across software, managed services, and infrastructure domains to ensure compliance with contractual, regulatory, security, and risk management requirements prior to launch
Contributes to the development, implementation and update of related policies, systems and processes working with other members of the internal legal community and other stakeholders
Collaborates with internal stakeholders to optimize legal risk management within the functional area or legal discipline
Advises on and reviews software, technology, and intellectual property licensing matters, including open-source, commercial, and proprietary licenses, to ensure alignment with technical usage, deployment models, and business objectives
Provides legal support in commercial and legal negotiations
Performs combined technical and legal reviews of Statements of Work (SOWs) to ensure alignment between technical scope, deliverables, assumptions, risk allocation, and contractual obligations
Advises on and supports the integration of artificial intelligence and machine learning capabilities into products, services, and commercial contracts, including review of AI-related licensing, data rights, regulatory considerations, and risk allocation
Works closely with other departments or functions to contribute to the revision of and advise on the development of governance, business and operations
Requirements:
JD from an accredited law school and state bar license
Minimum of 8 years of combined experience in an in-house legal role and with a leading law firm or external counsel, advising on complex commercial, technology, and regulatory matters
Minimum of three (3) years of demonstrated technical experience working with or alongside engineering, software, managed services, or infrastructure teams, supporting technically complex products, services, or delivery models
Advanced demonstrated experience in a similar role within a related environment
Advanced demonstrated experience advising and providing solutions to highly complex and legal-technical issues and challenges
Advanced demonstrated experienced in the development of related programs, policies, frameworks and structures to manage the specific functional area or legal discipline at the required scale and complexity
Advanced experience working with Management and other internal / external stakeholders
Advanced demonstrated experience working at the intersection of legal, engineering, and technology teams, including advising on software, managed services, and infrastructure initiatives
Advanced demonstrated experience conducting combined technical and legal reviews of product releases, Statements of Work (SOWs), and complex delivery models
Advanced demonstrated experience advising on software, technology, and intellectual property licensing, including open-source and commercial licensing in technically complex environments
Advanced demonstrated experience translating complex technical architectures, engineering constraints, and delivery models into practical legal and risk management solutions for business and management stakeholders
Advanced demonstrated experience advising on the integration of artificial intelligence and machine learning capabilities into products and services, including AI-related licensing, data usage rights, and associated commercial and contractual considerations
