Job Description

Crusoe is seeking a motivated, practical and solution-oriented attorney to review, draft and negotiate a variety of commercial agreements. This position sits within Crusoe’s Legal team and will play a key role in supporting our rapidly growing infrastructure, procurement, and operations functions.

Job Responsibility

  • Draft, review, and negotiate a variety of commercial agreements, including equipment purchase agreements, consulting agreements, master services agreements, energy supply agreements, and non-disclosure agreements
  • Support negotiations on innovative and high-impact commercial arrangements, including new technologies, energy infrastructure, and data center development
  • Participate in improving and managing Crusoe’s contract intake, review, execution, and post-execution processes to keep commercial operations running smoothly
  • Conduct legal research and provide sound legal advice on a range of legal and business issues
  • Analyze and mitigate legal and commercial risks associated with business transactions
  • Ensure compliance with applicable laws and regulations
  • Collaborate closely with business stakeholders (e.g., procurement, engineering, operations, finance) to understand their needs and translate them into clear and concise legal terms
  • Build strong relationships with internal and external stakeholders, including vendors, customers, and legal counsel
  • Proactively identify and address potential legal issues
  • Effectively communicate complex legal concepts to non-lawyers in a clear and concise manner
  • Interact with colleagues across various departments, including procurement, engineering, finance, and operations. Engage with external counsel and vendors as needed
  • Contribute to the development and improvement of internal legal processes, workflows and procedures
  • Develop and maintain commercial contract templates and playbooks
  • Conduct training sessions for business teams on contract-related matters
  • Work collaboratively across the Legal Team with the opportunity to cross-train and support other practice areas as business needs evolve
  • Drive efficiency and innovation within the Legal department

Requirements

  • Juris Doctorate (J.D.) degree from an accredited law school
  • Active and in good standing with the applicable State Bar
  • 5+ years of experience practicing corporate or commercial law, with a focus on transactional work and commercial agreements
  • Experience working in a fast-paced, high-growth environment is strongly preferred
  • Proven ability to analyze complex legal issues, identify solutions, and communicate them effectively
  • Excellent written and verbal communication, interpersonal, and negotiation skills
  • Strong analytical and problem-solving skills with a keen eye for detail
  • Ability to operate independently, manage competing priorities and work as part of a team
  • Experience in energy, infrastructure, or technology industries is a plus
