Job Description

This Assistant General Counsel role will specialize in drafting, reviewing, editing, and negotiating contracts, and provide legal counsel and interpretation to management and operations teams on matters of contract. This role will also provide general legal advice and counseling to all mortgage servicing operations, risk, and compliance; draft and review mortgage servicing disclosures and communications to borrowers; draft and review responses to escalated complaints; assist with litigated matters; review and revise policies and procedures, and coordinate with other members of the Legal Team on the provisions of legal services to servicing operations.

Job Responsibility

  • Draft, review, edit, and negotiate a variety of commercial contracts, including vendor agreements, servicing-related contracts, NDAs, and technology agreements
  • Manage contract lifecycle processes, including intake, tracking, and execution
  • Identify legal and regulatory risks in contractual arrangements and propose appropriate mitigation strategies
  • Provide legal advice to servicing operations on complex legal issues, compliance policies and risk management
  • Draft and review responses to government agencies regarding escalated consumer complaints and aid with examinations and investigations
  • Draft and review regulatory disclosures and customer communications
  • Participate in the review and revision of servicing policies and procedures and training manuals
  • conduct comprehensive training on laws and regulations related to servicing operations
  • Provide support to in-house litigation staff on matters involving servicing allegations
  • Provide advice and counseling in connection with risk assessments (including legal risk assessments), compliance testing, internal audits and state and federal examinations of mortgage servicing operations
  • Support the General Counsel on legal matters related to mortgage servicing, including regulatory compliance and operational issues
  • Coordinate with external counsel as needed
  • Assume responsibility for special projects as assigned

Requirements

  • Law Degree required
  • Admitted to practice law in any state and in good standing
  • Minimum of 2-4 years of professional legal experience, including at least 2-3 years of experience in commercial contract review, drafting, editing, and negotiation (law firm or in-house)
  • Demonstrated knowledge of fundamental legal concepts, practices, and procedures within the area of specialization
  • Working knowledge of applicable federal and state mortgage servicing laws and regulations
  • Strong legal research, writing, and verbal communication skills
  • Excellent organizational skills with the ability to manage multiple priorities and work effectively under pressure
  • Ability to build and maintain effective relationships with internal stakeholders (leadership, peers, team members) and external partners
  • Ability to balance legal risk with business objectives
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)
