Job Description:

Citizens Bank is seeking a highly motivated, solutions-oriented attorney to support its growing and dynamic Private Banking business. This role provides broad legal support for deposit and lending products serving high net worth individuals, families, and their related business interests, as well as associated services and operations. The Assistant General Counsel will work closely with business leaders, legal subject matter experts, and operational partners to deliver practical, business-focused legal advice. The long-term vision for this role is to develop into a trusted, go-to legal advisor for Private Bank initiatives and client-facing opportunities.

Job Responsibility:

  • Serve as a trusted legal advisor for Private Bank lending, deposit, and family office–oriented products and services
  • Partner closely with management, business teams, operations, and legal colleagues on new initiatives, including third-party platform strategies, complex problem-solving, and escalated client matters
  • Monitor and assess changes in the legal and regulatory landscape
  • research, analyze, and provide sound legal guidance related to existing and evolving financial products and services
  • Advise business, Risk, Compliance, and other functional partners on strategic initiatives, contract interpretation and negotiation, loan and deal structuring, internal audits, regulatory examinations, and dispute resolution
  • Manage external counsel, when approved, in support of specific projects or initiatives

Requirements:

  • Juris Doctor (JD) with strong academic credentials
  • admission to at least one U.S. bar required
  • Minimum of five years of experience in a law firm and/or in-house legal department
  • Experience with banking and lending products supporting high net worth clients, including consumer and commercial lending, deposits, and/or investment-related products
  • Familiarity with the consumer banking regulatory environment and general banking operational considerations
  • A background in consumer or commercial lending

  • Oversee the operational aspects of loan lifecycle events including population control, loan detail accuracy and loan covenant management, including when outsourced
  • Maintain knowledge of ongoing activity within the portfolio and communicate changes and updates to both internal and external teams
  • Manage transaction documentation and external counsel (and coordinate with internal legal team as applicable) throughout the deal cycle
  • Coordinate with and support the lending team for transaction post-closing and ongoing contract administration matters, including development of process improvements
  • Assist in review of legal documentation and raise issues to lending team and/or legal team as and when appropriate
  • Entity creation and ongoing management and maintenance of special purpose entities required for lending transactions and related ongoing management and maintenance of structure charts for each transaction
  • Partner with cross functional teams to deliver seamless, efficient and well-controlled services including the initiation of aviation contribution and distribution wires and corresponding timely and accurate accounting entries
  • Verify accounting records are complete and accurate between Lending Co and Fund Accounting through review and approval of monthly activity reports
  • Partner with cross functional teams in quarterly valuation cycles to ensure a complete and accurate aviation valuation population is being priced and ingested by Fund Administrator
