Job Description:

We're seeking a Senior Counsel or Assistant General Counsel, Corporate & Securities who is an exceptional legal strategist and a proactive business partner. This is a high-impact, high-visibility role for a leader who can not only manage our public company obligations but also drive efficiency and innovation in legal operations. You will be a key advisor to our senior leadership and Board of Directors, ensuring our corporate governance and transactions are executed with precision, speed, and strategic insight.

Job Responsibility:

  • Own the legal portions of all SEC filings (10-K, 10-Q, 8-K, proxy statements, registration statements) and ensure ongoing compliance with SEC and exchange requirements
  • Lead planning for the annual meeting of stockholders
  • Drive M&A, divestitures, strategic investments, corporate financings, and other complex corporate transactions from term sheet through closing
  • Negotiate and draft transaction agreements, disclosure documents, and corporate governance materials
  • Oversee Section 16 filings and related reporting obligations
  • Prepare and manage board and committee meeting materials in partnership with senior leadership
  • Manage global subsidiary governance, draft organizational documents, and maintain corporate records
  • Partner with Communications, Investor Relations, Accounting, Treasury, and Tax on cross-functional initiatives
  • Control Corporate & Securities legal budgets, manage law firm relationships, and approve related expenses

Requirements:

  • 4+ years’ securities and capital markets experience (in-house or at a law firm)
  • Proven ability to independently manage complex filings and transactions
  • Strong organizational skills with the ability to handle multiple priorities under tight deadlines
  • Exceptional written and verbal communication skills — able to explain complex concepts clearly and concisely
  • Collaborative mindset with a track record of building trust across functions

  • Experience working directly with boards of directors and senior executives
  • Exposure to global subsidiary governance
