Job Description:

The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

Job Responsibility:

  • Support the Company Secretary with governance and appointment of Board Directors
  • Provide corporate governance advisory and corporate secretarial support to boards and committees, including (i) plan for and schedule meetings, and (ii) review materials submitted for meetings
  • Prepare and manage meeting agendas and briefing notes for chairs of boards and committees (where required), and draft minutes of meeting
  • Manage director appointment, onboarding, induction and ongoing training/development needs
  • Ensuring compliance with Singapore company law, local regulations and best corporate governance practice and principles at all times
  • Manage a range of relationships with key internal and external stakeholders
  • Support the implementation of Group projects including simplification and digitalisation initiatives
  • Contribute to the development of procedures and control processes that comply with the HSBC Group policies and reduce operational risk
  • Contribute to process enhancements to deliver efficiencies and drive performance standards

Requirements:

  • 10-15 years of relevant experiences
  • Experience of working in a banking environment
  • Experience of working in a Corporate Governance & Secretariat function, whether in-house or with service provider
  • Experience of working with executive and non-executive directors
