Monks is on the lookout for a highly motivated Commercial Counsel to join the US Legal team and help with day-to-day legal matters for our content productions in the US & Canada, and related legal issues, including MSAs, SOWs, Amendments, NDAs, and influencer agreements. Have a passion for simplicity and clarity, coupled with a strong background in contract drafting and negotiation. Be an autonomous, strategic, and adaptable attorney who thrives in a high-pressure, high-stakes environment, demonstrating agility in a digital-first setting. This role involves negotiating deals for the United States and Canada and providing practical, commercially-focused guidance and support to internal business stake. This role will evolve as the needs of the business grows and changes.

Job Responsibility:

  • Draft, review, and negotiate a variety of commercial agreements (e.g. MSAs, SOWs, Content & Vendor Agreements, Amendments, NDAs, etc.) to support sales, marketing, production, and operations
  • Work with clients and internal teams to lead negotiation of terms to align with company policies and objectives
  • Analyze and mitigate potential risks involved with specific contract terms
  • Review creative and production assets for legal compliance, including applicable consumer protection and advertising laws, and work alongside Business Affairs team to help secure necessary clearances for talent, music, and related intellectual property rights
  • Partner with internal legal counsel across the world to create contract policies and commercial strategy to ensure the support of the business as it scales
  • Serve as primary contact for internal and external contract-related inquiries
  • Create and deliver internal training on commercial and legal processes and concepts
  • Assist with post-merger integration as related to commercial processes
  • Proactively identify new projects and goals needed to improve the legal function and work to accomplish them
  • Provide guidance and support to the global commercial team
  • Stay current on relevant industry, commercial, IP, privacy, employment, and other laws, regulations, and developments to adapt our commercial processes accordingly
  • Work on various other legal projects to support the North American and Global Legal team

Requirements:

  • 7+ years of experience working on commercial transactions, preferably within the agency and/or digital production industry
  • Demonstrated experience in digital advertising, content, production, and media is required
  • Attention to detail is a must
  • Strong knowledge of digital content, entertainment, contract and commercial law
  • Flexibility and willingness to take on tasks in new areas of law
  • Ability to work independently and exercise excellent judgment
  • Strong written and verbal communication skills including the ability to relay legal concepts, policies, documents in a manner easily understood by non-lawyers
  • Flexibility to adapt and thrive in a constantly changing environment as we continue to grow our business internationally
  • Curiosity and eagerness to stay up to date on the regional legal landscape and our industry and align our goals accordingly
  • Must be able to effectively work cross-functionally with many different teams and personalities across the world
  • Licensed lawyer in good standing admitted to practice in your state of residence or be able to obtain In-House Counsel Registration for your state of residence within 3-6 months of starting the role
