A Principal acts as the crucial liaison between multiple departments, collaborating extensively with Legal on plan documents, Accounting for expense reporting and balance sheet reconciliations, Payroll for tax withholdings, and People Operations on grant guidelines. This role is also deeply involved in financial reporting, providing essential data for SEC filings, preparing footnote disclosures for stock-based compensation, and managing the quarterly equity rollforward. Furthermore, they ensure compliance with securities laws, including the preparation of Forms 3, 4, and 5 for corporate insiders and oversight of 10b5-1 trading plans. The skill set required for these high-level jobs is both broad and deep. Successful candidates typically possess a bachelor’s degree in Finance, Accounting, or Business, coupled with 7+ years of progressive experience in stock administration, often within a public company environment. Comprehensive technical knowledge of equity award types, associated accounting standards (ASC 718), and domestic and international tax implications is non-negotiable.
