Description du poste:

Dans le cadre de son développement, NETCO renforce ses équipes et recrute un(e) Manager M&A pour accompagner et structurer sa stratégie d’acquisitions en France et à l’international. Rattaché(e) à la Direction Financière, le/la Manager M&A pilote l’ensemble des projets d’acquisition du Groupe, en France et à l’international, depuis l’identification des opportunités jusqu’au closing et au suivi de l’intégration post-acquisition.

Responsabilités:

  • Gestion du pipeline et analyses: Participer au suivi et à l’animation du pipeline d’opportunités M&A, par business unit et par zone géographique
  • Réaliser les analyses financières des sociétés cibles
  • Participer aux travaux de valorisation et à l’identification des synergies potentielles
  • Coordination des due diligences: Coordonner l’ensemble des due diligences (financières, fiscales, juridiques, sociales) menées par les prestataires externes
  • Réaliser directement en interne les travaux de vérification comptable et financière pour les cibles de petite taille
  • Assister les équipes internes dans les due diligences opérationnelles
  • Piloter la sélection et le suivi des prestataires: accords de confidentialité, gestion de la dataroom, suivi budgétaire des honoraires et respect des délais
  • Structuration des opérations et reporting: Étudier les options de structuration des opérations et analyser les impacts financiers et fiscaux
  • Restituer à la Direction Financière une synthèse claire et structurée des travaux de due diligence: risques, opportunités, impacts sur la valorisation et les termes de la transaction
  • Négociation et closing: Assister les négociations et contribuer à la rédaction des documents juridiques (SPA, pactes d’actionnaires…), en lien avec les conseils externes
  • Suivre le processus de closing en coordination avec la Trésorerie Groupe et les conseils juridiques
  • Intégration post-acquisition: Définir et piloter les plannings d’intégration post-acquisition
  • Suivre la mise en œuvre des plans d’actions et des synergies identifiées

Exigences:

  • Master 2 Finance (Université ou École de commerce), diplôme d’ingénieur ou équivalent
  • 5 à 7 ans d’expérience minimum en cabinet de conseil M&A et/ou de Transaction Services, éventuellement complétée par une expérience en Corporate Development / M&A en entreprise
  • Excellentes compétences techniques financières
  • Maîtrise des principes comptables French GAAP, IFRS et US GAAP
  • Solide expertise en modélisation financière et en méthodes de valorisation
  • Bonne connaissance des structures d’acquisition et des termes associés
  • Maîtrise d’Excel et de PowerPoint
  • Utilisation des outils de DataRoom et de solution de gestion documentaire
  • Anglais professionnel courant, à l’oral comme à l’écrit
  • Rigueur intellectuelle et sens du détail
  • Esprit critique et capacité de synthèse
  • Autonomie et forte capacité de travail
  • Aisance relationnelle et capacité à communiquer clairement avec des interlocuteurs variés
  • Force de proposition et sens de la négociation
